Terms of Service

1. Agreement to Terms

By accessing or using Agentic Traders ("the Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Agentic Traders. If you do not agree to these Terms in their entirety, you must not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, DISCLAIMERS, AND A BINDING ARBITRATION CLAUSE.

2. Description of Service

Agentic Traders is a platform that allows users to create and manage AI-powered trading agents. The Service includes:

• Paper Trading (Simulated): Virtual trading using simulated funds where no real money is at risk
• Third-Party Broker Integrations: Optional connections to external trading platforms (including but not limited to MetaTrader 5) that may execute real trades with real money

CRITICAL DISTINCTION: While our core platform operates in a simulated environment, connecting to third-party brokers enables real trading with real money. You are solely responsible for any financial consequences of connecting to and trading through third-party platforms.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• If using third-party broker integrations, comply with all applicable financial regulations in your jurisdiction

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time.

4. User Accounts and Security

When you create an account, you are solely responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activity that occurs under your account, whether authorized or unauthorized
• Providing accurate, current, and complete information
• Immediately notifying us of any unauthorized access or security breach
• Ensuring the security of any API keys, broker credentials, or other access tokens you provide

We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

5. Third-Party Broker Integrations

The Service may allow you to connect to third-party trading platforms, including but not limited to MetaTrader 5 (MT5), to execute trades. By using these integrations, you acknowledge and agree that:

• We are not affiliated with, endorsed by, or partnered with any third-party broker or trading platform
• We do not control third-party platforms and are not responsible for their availability, reliability, accuracy, or security
• Any trades executed through third-party integrations involve real money and real financial risk
• You are solely responsible for your relationship with any third-party broker, including account setup, verification, deposits, withdrawals, and dispute resolution
• You must comply with all terms, conditions, and regulations of the third-party platforms you connect to
• Technical issues, delays, errors, or failures in third-party platforms are beyond our control
• We do not guarantee the execution, accuracy, or timeliness of any trades placed through third-party integrations
• You are responsible for verifying that automated trading is permitted by your broker and in your jurisdiction

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY LOSSES, DAMAGES, OR COSTS INCURRED THROUGH YOUR USE OF THIRD-PARTY BROKER INTEGRATIONS.

6. AI Trading Agents and Automated Trading

Our Service allows you to create and deploy AI-powered trading agents. You acknowledge and agree that:

• AI agents operate based on algorithms and may make decisions that result in financial losses
• AI agents may malfunction, produce errors, or behave unexpectedly
• Past performance of any trading strategy or AI agent does not guarantee future results
• You are solely responsible for configuring, monitoring, and managing your AI agents
• You should never deploy AI agents with more capital than you can afford to lose
• Market conditions can change rapidly, and AI agents may not respond appropriately to unusual market events
• We do not guarantee the profitability, accuracy, or reliability of any AI trading strategy

7. No Financial Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. Specifically:

• Nothing on the Service constitutes a recommendation to buy, sell, or hold any financial instrument
• We are not registered as a financial advisor, broker-dealer, or investment advisor in any jurisdiction
• Any information, tools, or features provided are for educational and informational purposes only
• Simulated performance results have inherent limitations and do not reflect actual trading
• You should consult qualified financial professionals before making any investment decisions

You acknowledge that you are solely responsible for your trading decisions and that you have not relied on any advice or recommendation from us in making those decisions.

8. Risk Acknowledgment

By using the Service, especially features that connect to real trading platforms, you expressly acknowledge and accept the following risks:

• Trading financial instruments (forex, CFDs, cryptocurrencies, stocks, etc.) carries a high level of risk
• You may lose some, all, or more than your initial investment
• Leveraged trading can result in losses exceeding your deposited funds
• Market volatility, liquidity issues, and technical failures can cause significant losses
• Automated trading systems may execute trades faster than you can monitor or intervene
• Slippage, gaps, and execution delays can adversely affect trade outcomes
• Regulatory changes may affect your ability to trade or access funds

YOU SHOULD ONLY TRADE WITH MONEY YOU CAN AFFORD TO LOSE ENTIRELY.

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with others
• Use automated tools to access the Service without permission
• Engage in market manipulation, fraud, or other prohibited trading practices
• Use the Service to launder money or finance illegal activities
• Circumvent any geographic restrictions or access controls
• Reverse engineer, decompile, or disassemble any part of the Service

10. Intellectual Property

Agentic Traders and its original content, features, and functionality are owned by Agentic Traders and are protected by international copyright, trademark, and other intellectual property laws. Your trading strategies, configurations, and custom agents that you create remain your intellectual property.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA
• WARRANTIES THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED
• WARRANTIES REGARDING THE RESULTS OR OUTCOMES OF USING THE SERVICE

YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• AGENTIC TRADERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES
• WE SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSSES, TRADING LOSSES, OR LOST INVESTMENT OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE OR THIRD-PARTY INTEGRATIONS
• WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM TECHNICAL FAILURES, SYSTEM OUTAGES, DATA LOSS, OR SECURITY BREACHES
• WE SHALL NOT BE LIABLE FOR ANY ACTIONS OR INACTIONS OF THIRD-PARTY BROKERS, PLATFORMS, OR SERVICE PROVIDERS
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Agentic Traders and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your trading activities and decisions; (e) your use of third-party broker integrations; (f) any content you submit or transmit through the Service; or (g) any claims made by third-party brokers or platforms related to your account or trading activity.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at support@agentictraders.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the arbitration rules of the jurisdiction of Australia. The arbitration shall be conducted in English, and the seat of arbitration shall be Australia.

Class Action Waiver: YOU AND AGENTIC TRADERS AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims.

Exceptions: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights or unauthorized access to the Service.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or harmful conduct
• Non-payment of applicable fees
• Request by law enforcement or government agencies
• Discontinuation of the Service or any part thereof

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Australia, and you hereby consent to personal jurisdiction and venue therein.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Agentic Traders concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
